Our work is mainly transactional in nature with a strong emphasis on deal management skills and a "can do" attitude to problem solving and getting the deal done. Our areas of expertise are:-
Private Equity
We act for venture capital investors and high net worth individuals on start ups, spin-outs and development capital investments and on primary and secondary buyouts.
The firm also advises management teams on MBO’s and MBI’s and investee companies on raising start up, expansion and development capital and on the application of the Enterprise Investment Scheme.
We assist with structuring private equity transactions and can advise on the implications. Our contacts in the private equity field are good and we can introduce management teams and companies to potential sources of equity and bank funding and provide guidance on the preparation of a business plan.
We act for investors in the retail, environmental and clean technology sectors and have advised technology, publishing and retail companies raising private equity funding.
Merger and Acquisitions
The main part of our work relates to the sale and purchase of private companies and businesses. We are also able to advise on takeovers and reverse takeovers of listed and AIM companies and our team has had experience in a number of “public to private” transactions. Accordingly, we are familiar with the AIM Rules, the Listing, Prospectus and Disclosure Rules and the Takeover Code.
We are very experienced at conducting due diligence exercises and are supported by employment, banking, construction and property specialists from within the firm. Our team also have access to specialist tax, pensions and IP advice from well-known professional firms.
This work often involves foreign elements. Our contacts with foreign firms in most of the major jurisdictions assist us where this is required.
Corporate Finance
We are able to advise on placings, rights issues, open offers and flotations on OFEX, AIM and the Full List. We regularly advise on financial promotions under the Financial Services and Markets Act 2000 and the exemptions available, including to High Net Worth Individuals and Sophisticated Investors.
Our connections with brokers, NOMAD’s, sponsors and accountants mean that we are able to introduce companies considering a flotation or fundraising to appropriate advisers. We can assist in pre-flotation planning and establishing share option schemes for employees and advise directors on the implications and responsibilities of public company status.
Joint ventures, Restructurings and Refinancings
We have considerable experience in property-based joint ventures and draft joint venture agreements and articles of association for project companies.
We also advise on corporate restructurings and debt for equity swaps and refinancings, sometimes where the borrower is in financial difficulties.
We have particular expertise in refinancing transactions for property companies. We are familiar with the implications of Section 151 of the Companies Act 1985 in the context of these transactions.
