Range of Work

Corporate Services

We establish and advise on a wide variety of business entities including public and private companies, partnerships and limited liability partnerships. We also structure business arrangements through co-operation agreements, joint ventures and shareholders’ agreements. The firm has extensive experience advising overseas clients on inward investment and establishing business in the UK.

We advise public and private companies on the contents of their annual report and notice of AGM and increasingly upon corporate governance issues.

Commercial

Our work includes drafting and advising on all types of commercial agreements, acting for clients principally in the property, media, manufacturing, technology and retail sectors.  For example, we act for international brand owners in relation to their franchising arrangements and advise global corporates on distribution and dealer agreements.  We also advise venue owners on facilities management agreements and sponsorship agreements and advise software houses on licence agreements and technology partnering agreements.

Insolvency

We assist companies in financial difficulty and advise their directors on their responsibilities to creditors and shareholders. We devise and structure schemes to satisfy creditors and lead negotiations with companies’ bankers and other major creditors. We also act for banks and insolvency practitioners on contentious and non-contentious matters. We have particular experience in enforcing security for lenders and recovering possession of and realising charged assets.
